Board of Commissioner Charter

The Board of Commissioners has a Board Charter, which includes the Board's Work Guidelines and Procedures, as well as the Committees that report to the Board of Commissioners. On October 31th 2018, the guidelines were updated.

The Board of Commissioners reviews and evaluates the applicable Board Charter on a periodic basis to ensure compliance with GCG best practices, applicable regulatory changes, and the Company's needs. In 2021, the Board of Commissioners conducted a review of the Board Charter with the participation of the Board of Commissioners, concluding that the Board Charter remains relevant for use.

The Board Charter regulates, among others:

1. Duties of the Board of Commissioners, including: scope of work, division of tasks, implementation of special tasks.
2. Responsibilities and authority of the Board of Commissioners.
3. Working mechanisms that include: working relationship with the Board of Directors, confidentiality, business ethics and anti-corruption, and performance evaluation.
4. Meetings
5. Reporting
6. Budget
