11. Memiliki dedikasi dan menyediakan waktu sepenuhnya untuk melakukan tugasnya, yang dinyatakan dengan surat pernyataan dari yang bersangkutan.12. Sehat jasmani dan rohani, yakni tidak sedang menderita suatu penyakit yang dapat menghambat pelaksanaan tugas sebagai anggota Direksi, yang dibuktikan dengan surat keterangan sehat dari rumah sakit.13. Memiliki Nomor Pokok Wajib Pajak (NPWP) dan telah melaksanakan kewajiban membayar pajak selama 2 (dua) tahun terakhir. Pengangkatan dan pemberhentian Dewan Komisaris dilakukan dengan ketentuan sebagai berikut:1. Anggota Dewan Komisaris diangkat dan diberhentikan melalui RUPS.2. Pemilihan calon anggota Dewan Komisaris dilakukan melalui proses seleksi dan nominasi yang transparan dengan mempertimbangkan keahlian, integritas, kejujuran, kepemimpinan, pengalaman, perilaku dan dedikasi, serta kecukupan waktunya demi kemajuan Perusahaan.3. Masa jabatan anggota Dewan Komisaris ditetapkan 3 (tiga) tahun dan sesudahnya dapat diangkat kembali untuk satu kali masa jabatan.4. Pemberhentian sewaktu-waktu anggota Dewan Komisaris sebelum berakhirnya masa jabatan harus dilakukan oleh RUPS dengan menyebutkan alasannya dan dengan terlebih dahulu memberikan kesempatan kepada anggota Dewan Komisaris tersebut untuk membela diri sesuai ketentuan yang berlaku. Dasar, Kriteria, dan Proses Pengangkatan Anggota DireksiDasar hukum pengangkatan anggota Direksi PHE berpedoman pada: 1. Undang-Undang No. 40 Tahun 2007 tentang Perseroan Terbatas.2. Undang-Undang No. 19 Tahun 2003 tentang BUMN (termasuk penjelasannya).3. Anggaran Dasar Perusahaan.4. Peraturan Menteri BUMN No. PER-03/MBU/03/2023 tentang Organ dan Sumber Daya Manusia Badan Usaha Milik Negara.5. Pedoman Pengangkatan dan Pemberhentian Anggota Direksi dan Dewan Komisaris Subholding atau Anak Perusahaan No. A5.3-01/K20000/2924-S9 Revisi 0 tanggal 8 Mei 2024.11. Have dedication and provide full time to conduct their duties, as stated in a written statement from the person concerned.12. Physically and mentally healthy, that is, not suffering from any illness that could hinder the performance of duties as a member of the Board of Directors, as evidenced by a health certificate from a hospital.13. Have a Taxpayer Identification Number (NPWP) and have fulfilled their tax payment obligations for the last 2 (two) years. The appointment and dismissal of a member of the Board of Commissioners must be conducted under the following provisions:1. Members of the Board of Commissioners are appointed and dismissed through a GMS.2. The selection of candidates for members of the Board of Commissioners is conducted through a transparent selection and nomination process by considering expertise, integrity, honesty, leadership, experience, behavior and dedication, as well as sufficient time for the progress of the Company.3. The tenure of members of the Board of Commissioners is set at 3 (three) years and thereafter they may be reappointed for one further tenure.4. The termination of a member of the Board of Commissioners at any time before the end of their tenure must be conducted by the GMS by stating the reasons and by first providing the member of the Board of Commissioners with the opportunity to defend himself/herself in accordance with applicable provisions.Basis, Criteria, and Process for Appointment of Members of Board of DirectorsThe legal bases for the appointment of members of the Board of Directors of PHE are pursuant to:1. Law No. 40 of 2007 concerning Limited Liability Companies.2. Law No. 19 of 2003 concerning State-Owned Enterprises (including its elucidation).3. Company's articles of association.4.
