KOMITE NOMINASI & REMUNERASIPembentukan Komite Nominasi & Remunerasi PHE mengacu pada Surat Keputusan Dewan Komisaris No. Kpts-010/DKPHE/2022-S0 tanggal 29 September 2022. Komite Nominasi & Remunerasi merupakan salah satu organ penunjang Dewan Komisaris yang dibentuk untuk membantu Dewan Komisaris Komisaris dalam menjalankan fungsi pengawasan dan pemberian nasihat mengenai penetapan kualifikasi dan proses nominasi serta remunerasi Dewan Komisaris dan Direksi.Piagam Komite Nominasi & RemunerasiKomite Nominasi & Remunerasi telah memiliki piagam atau pedoman kerja yang ditetapkan Dewan Komisaris melalui Kpts 010/DK-PHE/2022-S0 tanggal 29 September 2022 tentang Persetujuan Piagam Komite Nominasi dan Remunerasi dan Penegasan Kembali Susunan Anggota Komite Nominasi dan Remunerasi Dewan Komisaris PT Pertamina Hulu Energi, menegaskan kembali Pembentukan Komite Nominasi & Remunerasi dan Susunan Komite Nominasi & Remunerasi. Piagam tersebut memuat informasi mengenai visi, misi, struktur organisasi, kualifikasi, tanggung jawab dan tugas, wewenang, hak dan kewajiban, ketentuan rapat, serta masa tugas atau masa jabatan.Di sisi lain, Komite Nominasi & Remunerasi setiap tahunnya menyusun Rencana Kerja sebagai panduan pelaksanaan tugasnya dalam membantu Dewan Komisaris. Tujuan penyusunan Rencana Kerja adalah untuk memaksimalkan pelaksanaan tugas dan tanggung jawab Komite Nominasi & Remunerasi dalam mengawasi sistem/kebijakan nominasi dan remunerasi bagi Dewan Komisaris, Direksi, pejabat eksekutif, dan pegawai secara menyeluruh.Masa Jabatan Komite Nominasi & RemunerasiMasa jabatan anggota Komite Nominasi & Remunerasi diatur sebagai berikut:1. Untuk anggota Komite Nominasi & Remunerasi yang berasal dari Komisaris, masa tugasnya tidak boleh lebih lama dari masa jabatan sebagai Dewan Komisaris sebagaimana diatur dalam Anggaran Dasar dan dapat dipilih kembali hanya untuk satu periode berikutnya. 2. Untuk anggota Komite Nominasi & Remunerasi yang bukan berasal dari Komisaris, masa tugasnya selama 3 (tiga) tahun dan dapat dipilih kembali untuk masa 2 (dua) tahun berikutnya. NOMINATION & REMUNERATION COMMITTEEThe formation of the PHE Nomination & Remuneration Committee refers to Decree of the Board of Commissioners No. Kpts-010/DK-PHE/2022-S0 dated September 29, 2022.The Nomination & Remuneration Committee is one of the supporting organs of the Board of Commissioners which is formed to assist the Board of Commissioners in conducting its supervisory and advisory functions regarding the determination of qualifications and the nomination process as well as remuneration of the Board of Commissioners and Board of Directors.Nomination & Remuneration Committee CharterCommittee Nomination & Remuneration has a charter or work guidelines established by the Board of Commissioners through Kpts 010/DK-PHE/2022-S0 dated September 29, 2022 concerning the Approval of the Nomination and Remuneration Committee Charter and Reaffirmation of the Composition of the Nomination and Remuneration Committee Members of the Board of Commissioners of PT Pertamina Hulu Energi, reaffirming the Formation of the Nomination & Remuneration Committee and Composition of the Nomination & Remuneration Committee. The charter contains information regarding the vision, mission, organizational structure, qualifications, responsibilities and duties, authority, rights and obligations, meeting provisions, and tenure.On the other hand, the CommitteeNomination & Remuneration annually prepares a Work Plan as a guideline for conducting its duties in assisting the Board of Commissioners. The purpose of preparing the Work Plan is to maximize the implementation of the Committee's duties and responsibilities.Nomination & Remunerationin overseeing the nomination and remuneration system/policy for the Board of Commissioners, Directors, executive officers and employees as a whole.Tenure of the Nomination & Remuneration CommitteeTenure of members of Nomination & Remunerationis Committee set as follows:1. For members of the Nomination & Remuneration Committee originating from Commissioners, their tenure may not be longer than the tenure as a Board of Commissioners as stipulated in the Articles of Association and they may be re-elected for only one subsequent period.2.
